1. Introduction

Welcome to Codieshub. These Terms of Service (“Terms”) govern your use of our website www.codieshub.com and any software development, AI, or related services we provide.

By using our site or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Our Services

Codieshub provides custom software, website, mobile app, and AI development for both businesses and individuals. We work through project contracts, retainers, or partnerships, with fees typically structured as fixed costs, occasionally hourly, and payable through agreed deposits or milestones.

3. Deliverables and Ownership

We deliver software code, APIs, and documentation according to your project scope. Once full payment is made, you own the final deliverables.

Codieshub, however, retains rights to its internal tools, reusable frameworks, and pre-existing intellectual property used during development.

4. Client Responsibilities

To ensure timely delivery, clients must provide all necessary information, credentials, access, and approvals.

If a client becomes unresponsive for an extended period or fails to supply required inputs, work may be paused without penalty to Codieshub, and payments for completed milestones remain due.

5. Acceptance and Approval

We will notify you when work is complete or ready for review. If no feedback is received within five business days, the work is considered approved, and any future revisions may incur additional charges.

6. Warranty and Support

Codieshub warrants that the delivered software will function as agreed at launch. We correct any verified bugs or defects reported within 90 days of delivery, except where applicable mandatory laws require a longer warranty period (including, without limitation, the 2-year minimum under EU Directive 2019/770 for consumers in the European Union, and equivalent consumer protection legislation in other jurisdictions). Nothing in this clause limits or excludes any right that cannot be waived under mandatory applicable law.

This warranty excludes issues caused by client or third-party modifications, hosting changes, misuse, or external dependencies. Ongoing maintenance or support beyond this period is available under a separate agreement.

7. Payments

All invoices must be paid on time as stated in your project agreement. Deposits are non-refundable once work begins. Late payments may result in project delays or suspension.

Prior to work commencing, deposit payments may be refunded at our discretion if a written cancellation request is received and no substantial work has been performed.

8. Confidentiality

Both parties agree to protect confidential information shared during the project. We may disclose such information only to teams or partners involved in fulfilling the contract or when legally required.

9. Limitation of Liability

Codieshub is not liable for any indirect, incidental, or consequential losses, including lost profits or data.

Our total liability will not exceed the fees you have paid for the specific project that gave rise to the claim.

10. Termination

Either party may terminate the agreement with written notice if the other party breaches these Terms and fails to correct it within 10 business days. Work completed up to termination must be paid in full. Deposits are forfeited once work has started.

11. Governing Law and Disputes

These Terms are governed by the laws of Delaware, USA. Any disputes will be resolved in the courts of Delaware. For clients based in other regions, mandatory consumer protections may additionally apply.

12. Updates to Terms

Codieshub may update these Terms from time to time. Updated Terms will be posted on our website, and continued use of our services after updates indicates acceptance of the revised version.
